Work within the Investment Funds practice group, specializing in formation of private U.S. and offshore investment funds and alternative investment vehicles. Requires Juris Doctor, Master of Law (LL.M.), or foreign equivalent. Requires admission to the New York State Bar. Requires at least two (2) years of experience working as an associate within the Investments Funds practice group of a global law firm. Prior experience must include: Reviewing legal contracts, investor qualification questionnaires, disclosure documents, investor consents, and other documents related to investment fund formation; Drafting offering materials, organizational documents and agreements; Developing legal advice for investors on fund terms and conditions; Drafting limited partnership agreements, subscription documents, management service agreement, and other fund formation documents; Research marketing rules and securities laws related to private equity funds in various jurisdictions; Researching and preparing memoranda regarding the operation of investment funds and closed-end funds; and Coordinating with clients and investors to manage fund-raising processes.
