Corporate Legal Counsel (Part-Time)
The candidate will prepare a variety of corporate legal documents including term sheets, agreements and contracts. Also monitor existing agreements and related activities. Support the Company’s business development initiatives, while helping to coordinate patent and trademark activities. Manage activities associated with corporate agreements to which the Company is a party. Oversee maintenance corporate agreement database and associated files. Lead the development and execution of all Company confidentiality and clinical trial research agreements. Assist in the development of product-related term sheets, definitive agreements and other relevant documents. Coordinate the development of international licensing agreements and related documentation. Coordinate patent and trademark activities with external counsels. Oversee maintenance of relevant documentation and files, Support internal patent reviews, tracking patents. Overseeing payment of associated fees/annuities. Participate as a member on the business development team. Assist in the development of product-related term sheets, definitive agreements and other relevant documents. Coordinate the development of international licensing agreements and related documentation. Support product evaluation and due diligence process for product acquisition and licensing opportunities. Prepare summaries and recommendations regarding corporate agreements for senior management and Board. Coordinate patent and trademark activities with external counsels. Oversee maintenance of relevant documentation and files, Support internal patent reviews, tracking patents. Overseeing payment of associated fees/annuities. Participate as a member on the business development team. Assist in the development of product-related term sheets, definitive agreements and other relevant documents.
