Provide legal advice to U.S. and international public and private companies in domestic and cross-border mergers and acquisitions (M&A) and private equity transactions. Requires a Juris Doctor or LL.M. degree, or foreign equivalent. Requires admission to the California bar. Requires at least 3 years of experience working as an associate attorney with a global law firm advising on M&A transactions and private equity matters. Experience must include at least 1 year with the following: Advising public and private multinational companies on complex corporate transactions; Managing capital markets transactions and advising on securities regulatory matters; Drafting and negotiating complex legal documents, including term sheets, purchase agreements, merger agreements, stockholder agreements, and disclosure schedules; and Coordinating corporate filings in international jurisdictions including the EU.
