Associate General Counsel
The candidate will draft and negotiate commercial and vendor contracts and assess attendant risk, in partnership with business clients and cross-functional stakeholders; Provide legal review, advice and support on a broad range of legal matters including commercial contracting, transactional and general corporate matters; Lead and cultivate a team dedicated to contracting matters in the Legal and Compliance Department; Respond to contract related inquiries and provide guidance as a subject matter expert; Work cross-functionally to ensure that contractual terms are compliant with legal, regulatory, corporate and risk requirements; Advise internal clients on contract interpretation, dispute resolution, risk allocation and other legal considerations; Establish trusted advisor relationships with the Business and Sales leadership teams; Guide Product teams and Sales teams on contract interpretation, standardizing contracts, dispute resolution, risk allocation and other legal matters; Lead initiatives to improve contract processes, including to reduce cycle times and increase efficiency; Other duties, as assigned by the General Counsel; Maintain compliance with **MEMBERS ONLY**SIGN UP NOW***.’s policies, procedures and mission statement; Adhere to all confidentiality and HIPAA requirements as outlined within company’s Operating Policies and Procedures in all ways and at all times with respect to any aspect of the data handled or services rendered in the undertaking of the position; Fulfill those responsibilities and/or duties that may be reasonably provided by company for the purpose of achieving operational and financial success of the Company. Should have 12+ years of legal experience to include significant experience as a transactional attorney. High volume commercial transactions experience with a sales-driven, software or other technology company is a plus. Must have excels at communicating business and legal issues to senior management, other business leaders and non-lawyers. Experience providing business-focused legal counsel in the life sciences, advisory and/or pharma space is preferred. Should have experience leading and mentoring attorneys and/or other legal staff.
