Intern - M&A Tax - Summer 2021
The candidate will assist with structuring the tax aspects of domestic and multinational private equity and strategic mergers, acquisitions, joint ventures, dispositions, and IPOs, along with drafting tax opinions, memos, structure decks, and Excel models (illustrating the tax benefits of alternative structures). Will perform tax due diligence to identify tax exposures and opportunities. Provide sell-side advisory services, including advising the sellers of a business on the most tax-efficient transaction structure and modeling the costs and benefits of alternative structures. Provide bankruptcy and restructuring advisory services, including providing tax advice on debt and equity restructurings (inside and outside of bankruptcy), generally with a goal of preserving the value of a company's tax attributes. Help compute tax attributes (i.e., earnings and profits, tax basis in the stock of consolidated subsidiaries, and limitations under section 382). Help prepare and review complex tax models illustrating multinational entities projected tax rates and cash tax expense. Should be currently pursuing a Master of Accounting or Taxation with CPA eligibility, J.D. degree, and/or LL.M. degree with a concentration in tax from an accredited college/university. Demonstrated quality service mindset, and knowledge of a broad range of corporate, partnership, and international tax law, with interest in mergers, acquisitions, and other transactional work is required. Strong technical aptitude, critical thinking and research skills, and ability to navigate MS Office applications including Excel, PowerPoint, Word and Outlook is needed. Ability to travel and/or work on-site at client premises as needed, at times with relatively short notice, is a must.

Note: The candidate should have target graduation dates between December 2021 and Summer 2022.
