The candidate will primarily provide legal coverage for private funds business, interacting with senior management and a global team of approximately 25 legal professionals supporting MSIM’s Real Assets, Private Credit & Equity and Portfolio Solutions businesses worldwide while working closely with other **MEMBERS ONLY**SIGN UP NOW***. legal and compliance professionals. As opportunities arise, the attorney will also provide legal support for MSIM’s public investing businesses. Responsibilities will include advising investment professionals and directing outside counsel in connection with fundraising, marketing and investing activities, as well as compliance requirements arising from various statutory, regulatory and internal policy obligations. Will be the responsible for legal coverage within firm including: Marketing, formation and management of complex private fund structures. Advising on legal obligations arising in connection with corporate governance, investor relations, fund raising and investing activities. Review of marketing materials, investor presentations and RFPs/DDQ in connection with fund raising. Formation and management of carry plan documentation. Advising on the development and execution of internal policies and procedures. Should have 4+ years of experience at major US law firm or in-house investment bank, asset manager or private equity firm. Must have experience with private equity, private credit, funds of funds and/or real estate and/or private investment funds that invest and raise capital on global basis. Must have experience with the Investment Advisers Act of 1940, the Investment Company Act of 1940, the Bank Holding Company Act of 1956, the Securities Act of 1933, Regulation D, ERISA, AIFMD, FINRA Rules.
