Job Overview

A law firm seeks an experienced Employee Benefits Attorney to join their Employee Benefits and Executive Compensation team in Tysons, Virginia. The attorney will advise private companies, tax-exempt organizations, fiduciaries, and business owners on employee benefits, executive compensation, ERISA, and ESOP matters.

Duties

• Advise on the design, implementation, administration, and compliance of tax-qualified retirement plans, health and welfare benefit plans, and executive compensation arrangements.
• Assist with employee benefit and executive compensation matters in mergers, acquisitions, financings, and restructurings.
• Design and advise on nonqualified deferred compensation arrangements under Section 409A.
• Counsel on ERISA fiduciary obligations and retirement plan investment issues.
• Draft and negotiate executive employment and severance agreements.
• Represent clients in IRS and Department of Labor correction programs and audits.
• Advise on plan administration and operational compliance.

Requirements

• Admission to practice in Virginia or eligibility for admission.
• 5+ years of experience in employee benefits, executive compensation, ERISA, and related tax matters.
• Strong knowledge of ERISA, retirement plans, executive compensation, and Section 409A compliance.
• Experience with mergers and acquisitions related to employee benefits.
• Excellent drafting, analytical, communication, and client counseling skills.

Education

• Juris Doctor (JD) degree.

Certifications

• Admission to the Virginia State Bar.
