Job Overview

Duties

• Advise private fund sponsors on the formation and offering of U.S. and international pooled investment vehicles and bespoke arrangements.



• Represent institutional investors in allocating capital to private fund investments, including primary, secondary, and coinvest transactions.



• Counsel investment advisory firms on operational matters such as governance, compliance, carried interest, and fund restructurings.



• Collaborate with industry teams to develop specialized expertise in client portfolio assets like private equity and real estate finance.

Requirements

• At least 4 years of experience in private fund formation.



• Experience drafting and reviewing fund documentation, including private placement memoranda and subscription documents.



• Experience representing institutional investors in negotiating private fund investments.



• Working knowledge of relevant securities rules, including the Investment Advisers Act.

Education

• Outstanding academic credentials from an accredited law school.

Certifications

• Admission to the bar in the relevant jurisdiction.

Skills

• Excellent written and verbal communication skills.



• Ability to work directly with clients and collaborate with experienced practitioners.



• Experience working at an AmLaw 100 firm is preferred.
