Job Overview

A law firm seeks a Public Finance Counsel to join its Public Finance Practice Group in Baltimore. This role involves leading complex tax-exempt and taxable financing transactions for diverse clients, including healthcare, energy, and higher education sectors. The position requires high independence in managing matters from structuring through closing, serving as a primary client contact, and mentoring junior staff while supporting business development efforts.

Duties

• Lead tax-exempt and taxable financing transactions from structuring through closing with a high degree of independence.



• Review, draft, and analyze underlying credit support, tax, construction, and management agreements.



• Draft and negotiate financing documents, certificates, and legal opinions, including official statements and trust indentures.



• Analyze complex federal tax issues and securities law disclosure obligations for various client sectors.



• Supervise and mentor associates and paralegals, providing practical, business-focused advice to clients.



• Serve as a primary point of contact for clients, issuers, underwriters, and lenders.



• Support practice business development efforts and work with partners to cultivate client relationships.

Requirements

• Eight or more years of public finance experience, including substantial tax-exempt bond experience, in a top 100 law firm or comparable setting.



• Demonstrated ability to lead transactions from start to finish, serving as bond counsel, underwriter's counsel, lender's counsel, or borrower's counsel.



• Deep knowledge of federal tax requirements for tax-exempt obligations and federal securities law disclosure obligations.



• Proven ability to manage complex transactions, working groups, and junior legal staff.



• Strong interpersonal skills with the ability to build and maintain relationships with clients and business teams.



• Admitted to practice in, or eligible for admission in, the state where the candidate will be based.

Education

• Strong academic record with a Juris Doctor degree from an accredited law school.

Certifications

• Active bar admission in the relevant jurisdiction.

Skills

• Excellent writing and oral communication skills.



• Experience with real estate, secured lending, and project finance transactions is preferred, particularly representing lenders and underwriters.



• Established client base or demonstrated interest in business development.



• Willingness and desire to work with innovative technology platforms, including AI-driven research and drafting tools.
