Job Overview

A law firm seeks a mid-level Corporate M&A Associate to join its growing corporate group in San Diego, California. The ideal candidate will possess strong academic credentials and direct experience executing merger and acquisition transactions for private and public companies.

Duties

• Execute complex merger and acquisition transactions, with a focus on drafting principal acquisition agreements and leading direct negotiations.



• Conduct comprehensive legal research and analysis to support transaction strategy and preparation.



• Draft well-written, error-free legal documents, including contracts, briefs, and correspondence.



• Manage transactions from inception to resolution, including preparing for closings, negotiations, and settlements.



• Build and maintain strong relationships with internal and external clients through timely advice and professional communication.



• Collaborate with legal and business professionals to develop innovative strategies for favorable client outcomes.



• Ensure rigorous compliance with legal standards and stay current with changes in law and legal precedents.

Requirements

• Minimum of 4 years of experience executing M&A transactions for private and public companies.



• Demonstrated experience in drafting principal acquisition agreements and direct negotiation thereof.



• Direct and applicable experience at a large law firm with immediately transferable skills.



• Admitted to practice law in the state of California.



• Strong academic background from a nationally recognized law school.

Education

• J.D. degree from an accredited law school.

Certifications

• Active license to practice law in California.
