A company seeks a Senior Counsel, Transactions and Market Compliance to join their team remotely. This role involves providing strategic legal advice on major U.S. and cross-border transactions, including mergers, acquisitions, and joint ventures. Duties

• Lead and manage legal workstreams for domestic and international mergers, acquisitions, and joint ventures.
• Draft, structure, and negotiate complex commercial agreements and transaction documents.
• Participate in senior-level planning and strategy development.
• Balance legal risks with business goals through creative solutions.
• Counsel senior management on transaction risks and execution strategies.
• Champion the use of legal technology to enhance service delivery.
• Mentor and develop attorneys and legal professionals.
• Coordinate cross-functional legal teams globally.
• Oversee outside counsel with disciplined cost management.
• Develop templates and playbooks to improve transaction execution.
• Support enterprise initiatives in electrification, software, and connectivity.

Requirements

• Minimum of 15 years of experience in complex commercial agreements and global transactions.
• Substantial experience with global supply chain transactions.
• Experience negotiating with international counterparties.
• Proven ability to advise senior management on legal and business matters.
• Demonstrated team leadership and development skills.
• Exceptional drafting, negotiation, and business judgment.
• Strong written and verbal communication skills.
• Willingness to travel domestically and internationally as needed.

Education

• Juris Doctor (JD) from an accredited law school.

Certifications

• Active member in good standing of at least one U.S. State Bar.
