Job Overview

A law firm seeks a highly motivated Associate Attorney with 3-6 years of relevant experience to join its business transactions practice in Tampa, FL. The candidate will engage in advising businesses on corporate and commercial matters, with a focus on mergers and acquisitions, asset-based lending, and general corporate transactions. This role offers the opportunity to work directly with clients and experienced attorneys on sophisticated transactions, with increasing responsibility from inception through closing.

Duties

• Represent clients in general corporate and business transactions, including entity formation and governance.
• Assist with and manage mergers and acquisitions, including business and asset acquisitions and dispositions.
• Conduct legal due diligence, analyze risks, and prepare diligence reports and transaction summaries.
• Draft, review, and negotiate transaction documents, including purchase and sale agreements.
• Represent parties in asset-based lending and secured financing transactions.
• Prepare and negotiate commercial and corporate agreements.
• Assist clients with corporate structuring and strategic business matters.
• Communicate with clients and transaction professionals, including opposing counsel and financial advisors.
• Manage transaction timelines and execution processes.
• Conduct legal research and provide practical, business-oriented advice.
• Work collaboratively with partners and associates while exercising increasing independence.

Requirements

• Juris Doctor (J.D.) from an accredited law school.
• 3-6 years of relevant experience in business transactions, corporate, M&A, banking, or commercial law.
• Active license and good standing with the applicable state bar.
• Experience with M&A transactions and/or complex corporate transactions preferred.
• Strong drafting, negotiation, legal research, and analytical skills.
• Excellent written and verbal communication skills.
• Ability to understand complex business issues and provide practical legal advice.
• Strong attention to detail and organizational skills.
• Ability to manage multiple matters and deadlines effectively.
• Demonstrated ability to work independently and as part of a team.
• Professional judgment, initiative, and commitment to exceptional client service.

Education

• Juris Doctor (J.D.) from an accredited law school.

Certifications
