Job Overview

A law firm seeks a mid-level Corporate and Impact Associate Attorney in New York, New York. The ideal candidate will possess 3 to 6 years of law firm experience advising clients on corporate transactions, incorporation, governance, and structuring. This role involves crafting legal and financing tools for nonprofits, foundations, corporations, and asset managers, leveraging a strong foundation in corporate law with sophisticated financing and/or M&A transactional experience to advance social and environmental goals.

Duties

• Draft, review, and negotiate investment, financing, governance, and other transaction documents for complex deals.



• Advise boards and management teams on corporate governance, fiduciary duties, and sustainability-related matters.



• Collaborate with colleagues in corporate, finance, tax, regulatory, securities, and intellectual property groups to deliver sophisticated transactions.



• Communicate complex legal and commercial issues clearly and concisely to internal teams and external clients.

Requirements

• 3 to 6 years of law firm experience advising clients on corporate transactions, incorporation, governance, and structuring.



• Experience with private equity, venture capital, growth equity, financings, secondary transactions, or other private investment deals.



• Admitted to the state bar in which you are practicing, or eligible to waive in.



• Strong work ethic, team player attitude, and action-oriented interest in taking on increased levels of responsibility.

Education

• Juris Doctor (J.D.) degree from an accredited law school.

Certifications

• Active admission to the state bar in the jurisdiction of practice.

Skills

• Social enterprise and impact investing experience is a plus.



• Ability to craft legal and financing tools tailored to the needs of diverse clients, including nonprofits and asset managers.
