Job Overview

A law firm in New York, NY seeks a transactional attorney to join its Alternative Asset Opportunities practice group. This role involves advising sovereign wealth funds and mega investors on complex global transactions, including secondary deals, joint ventures, and co-investments. Remote work arrangements may be considered for exceptional candidates.

Duties

• Draft, review, and negotiate transaction documents for complex deals across private equity, credit, real estate, venture capital, and infrastructure.



• Advise on deal structuring, governance arrangements, and regulatory considerations for global transactions.



• Prepare and review limited partnership agreements, subscription documents, side letters, and related transactional documentation.



• Collaborate with cross-disciplinary teams in tax, finance, and regulatory areas to deliver integrated client solutions.



• Manage multiple concurrent transactions from term sheet through closing.

Requirements

• Admission to practice in the relevant jurisdiction.



• Two to seven years of transactional or fund experience at a major law firm, with exposure to private equity or fund formation.



• Demonstrated experience drafting and negotiating complex investment and/or fund-related agreements.

Education

• J.D. from an accredited law school.

Certifications

• Active bar admission in the relevant jurisdiction.

Skills

• Strong written and verbal communication skills with keen attention to detail.



• Ability to work both independently and collaboratively in a team environment.



• Interest in leveraging AI technology and other emerging legal tools to improve the quality and efficiency of legal work.
