Job Overview

A law firm seeks a mid-level associate to join its Investment Management team in Los Angeles, CA. This role focuses on private fund formation, including private equity, credit, real estate, and venture capital. Duties

• Advise private fund sponsors on the formation and offering of U.S. and international pooled investment vehicles and bespoke arrangements.



• Represent institutional investors in negotiating primary, secondary, and co-investment transactions.



• Counsel investment advisory firms on operational matters, including governance, compliance, and fund restructurings.



• Collaborate with industry teams to develop specialized expertise in client portfolio assets such as private equity and real estate.

Requirements

• At least 4 years of experience in private fund formation and related securities matters.



• Proven experience drafting and reviewing fund documentation, including private placement memoranda and LLC agreements.



• Experience representing institutional investors in negotiating private fund investments.



• Working knowledge of relevant securities rules, including the Investment Advisers Act.

Education

• Law degree from an accredited institution with outstanding academic credentials.

Certifications

• Admission to the bar in the relevant jurisdiction.

Skills

• Excellent written and verbal communication skills.



• Ability to work directly with clients and collaborate with experienced practitioners.



• Strong analytical skills with experience in a large law firm environment.

Benefits

• Annual salary range of $310,000 to $390,000.
