A law firm seeks an experienced Church and Nonprofit Law Associate in Leesburg, VA. This role involves serving churches, ministries, and nonprofit organizations at various stages, from formation to governance and compliance. The associate will manage their own matters and serve as a primary contact for clients, with responsibilities growing alongside their experience.

Duties

• Form churches and nonprofits, including drafting articles of incorporation and bylaws.
• Advise on federal tax-exempt status and compliance, including Form 1023.
• Provide guidance on foreign grantmaking and international charitable activities.
• Advise on governance, leadership structures, and organizational decision-making.
• Draft organizational policies and review contracts related to operations and facilities.
• Handle mergers, affiliations, reorganizations, and asset transfers.
• Manage charitable solicitation registrations across multiple states.
• Research federal and state laws affecting religious and nonprofit organizations.
• Manage a caseload and coordinate with paralegals and support staff.

Requirements

• 2-10 years of experience in church law, nonprofit law, or tax-exempt organization law.
• Active VA Bar license.
• Experience advising on federal tax exemption and compliance.
• Strong drafting skills for governance documents and contracts.
• Ability to manage matters independently and communicate effectively.
• For senior candidates: experience supervising junior attorneys or paralegals.

Education

• Juris Doctor (JD) degree.

Certifications

• Active Virginia Bar license.
