Job Overview

A law firm seeks a Mid-Level Tax Associate through Counsel to join its nationally recognized Tax Practice in Atlanta. The position focuses on renewable energy transactions and federal tax credit monetization, including advising clients on sophisticated renewable energy tax credit structures, project development, and tax-driven transactions involving wind, solar, battery storage, fuel cells, and other energy transition assets.

Duties:

• Advise clients on the federal income tax aspects of renewable energy transactions
• Counsel sponsors, investors, and lenders on tax credit transferability, direct pay, and monetization strategies
• Analyze and apply complex Internal Revenue Code and Treasury Regulations relating to renewable energy tax credits, including Sections 45Y, 48E, 45X, and 45Z
• Draft, review, and negotiate transaction documents, including:
  • Build Transfer Agreements
  • EPC/BOP Agreements
  • Equipment Supply Agreements
  • Tax Credit Purchase Agreements
  • Partnership and LLC Agreements
  • Tax equity investment agreements
• Advise tax equity investors and project lenders on state and local tax issues affecting renewable energy projects
• Provide tax support for mergers and acquisitions involving renewable energy assets
• Structure transactions involving production tax credits (PTCs), investment tax credits (ITCs), and transferable tax credits
• Collaborate with attorneys across the firm's energy, infrastructure, and real estate practices

Requirements:

• Minimum 5 years of relevant tax experience in a law firm
• Significant experience with renewable energy tax credits and project development transactions
• Experience with tax credit transfers, monetization structures, and transactional tax matters
• Familiarity with ITCs, PTCs, applicable Internal Revenue Code provisions, and current IRS guidance
• Experience drafting and negotiating complex transactional agreements
• Ability to manage multiple sophisticated transactions under deadlines
• Strong client-service orientation and collaborative work style

Education and Certifications:

• Juris Doctor (J.D.) from an accredited law school
• Strong academic credentials
• Admission to practice law in the office's jurisdiction (or eligibility for admission by waiver)
