Duties

• Engage in mid-market M&A and venture capital transactions.
• Draft stock and asset purchase agreements.
• Interact directly with clients to shape transactions.
• Handle major acquisitions and divestitures for middle-market companies.

Requirements

• 4 to 6 years of corporate and transactional experience.
• Licensed to practice in FL, GA, NC, SC, DC, DE, PA, NJ, NY, or MA.
• Working knowledge of corporate and partnership taxation concepts.

Education

• Juris Doctorate (JD) required.

Certifications

• Bar admission in one of the specified states.

Skills

• Strong writing skills and academic record.
• Familiarity with NVCA documents.
• Ability to handle routine matters independently.
• Large law firm experience preferred.
