Job Overview

A law firm seeks a mid-level Corporate Associate with 4-6 years of experience to join its Corporate M&A and Private Equity practices in Tampa, Florida. The role involves advising private equity sponsors, family offices, and portfolio companies on buyouts, add-on acquisitions, growth equity investments, recapitalizations, and exits across diverse industries including healthcare, technology, and infrastructure.

Duties

• Draft, review, and negotiate key transaction documents such as letters of intent, asset and stock purchase agreements, and merger agreements.



• Manage due diligence processes by reviewing contracts, corporate records, and regulatory materials to identify potential risks.



• Coordinate with tax, regulatory, finance, and litigation colleagues to address complex transaction-related issues.



• Participate in client meetings and conference calls, providing strategic input and regular updates on deal progress.



• Assist with closing preparations, including drafting closing deliverables and ensuring post-closing obligations are met.

Requirements

• 4-6 years of substantive M&A, private equity, and general corporate experience at a national or regional law firm.



• Admission to the Florida Bar or willingness to become admitted promptly.



• Strong drafting, negotiation, and project management skills with the ability to work independently and as part of a team.



• Demonstrated ability to thrive in a fast-paced, high-volume practice environment.

Education

• J.D. with excellent academics from a well-respected, ABA-accredited law school.

Certifications

• Active membership in the Florida Bar or eligibility for admission.

Skills

• Experience with cross-border transactions is preferred.



• Experience advising private equity funds or portfolio companies is desired.



• Comfort working directly with clients and managing multiple deals simultaneously.
