Job Overview

A law firm seeks a mid-level Corporate and Impact Associate Attorney in San Diego. The ideal candidate will leverage a strong foundation in corporate law, sophisticated financing, and M&A transactional experience to address social and environmental goals. This role involves advising clients on innovative capital structures and serving as an incubator for top-tier talent within a collaborative, excellence-driven environment.

Duties

• Advise clients on corporate transactions, incorporation, governance, and structuring, with a focus on social enterprise and impact investing.



• Draft, review, and negotiate investment, financing, governance, and other transaction documents for diverse client bases.



• Provide counsel to boards and management teams on corporate governance, fiduciary duties, and sustainability-related matters.



• Collaborate with colleagues across corporate, finance, tax, regulatory, securities, and intellectual property practices to deliver sophisticated transactions.



• Communicate complex legal and commercial issues clearly and concisely to internal teams and external clients.

Requirements

• Three to six years of law firm experience advising clients on corporate transactions and structuring.



• Experience with private equity, venture capital, growth equity, financings, secondary transactions, or other private investment deals.



• Admitted to the state bar in which you are practicing, or eligible to waive in.



• Strong work ethic, team player attitude, and an action-oriented interest in taking on increased levels of responsibility.

Education

• Juris Doctor degree from an accredited law school.

Certifications

• Active bar admission in the relevant jurisdiction or eligibility for waiver.

Skills

• Sophisticated financing and/or M&A transactional experience.



• Knowledge of innovative capital structures and multidisciplinary legal reach.



• Ability to craft legal and financing tools tailored to nonprofits, foundations, corporations, and asset managers.



• Clear and concise oral and written communication skills.
