Head of Legal
The candidate will serve as a strategic thought partner, legal advisor, and member of the senior leadership team regarding business strategy, commercial transactions, business development and execution. Proactively and creatively evaluate risk factors impacting business decisions and anticipate legal issues that could impact the company. Anticipate and respond to legislative and regulatory changes affecting the company, especially on industry-specific issues, corporate governance and regulatory affairs. Advise on legal aspects of the company's financing, including assessing and advising on current and future business structures and legal entities. Architect and ensure compliance with all applicable laws and regulations. Advise on corporate governance and compliance matters, including the development and implementation of the organization's policies and procedures. Draft and negotiate services agreements, licensing agreements, production agreements, talent agreements, vendor agreements, advertising and sponsorship agreements. Conduct contract analysis and provide ongoing risk analysis in connection with a variety of matters including, but not limited to, insurance, employment and corporate matters. Assist with efforts to develop and refine forms, processes and procedures. Should have JD degree and in good standing with any state bar, membership with the Florida or Pennsylvania State Bar preferred. A minimum of 5 years Legal experience, including commercial contract review, drafting and negotiation, and privacy regulations. A diverse background in technology law, with emphasis on platform-based software & services, and privacy compliance. Ability to prioritize and manage business expectations in a fast-paced environment. Excellent legal and business judgment with the ability both to assess risks quickly and to communicate those risks to business partners in non-legal speak. Strong negotiation skills; exceptional at drafting and negotiating complex commercial agreements with a solution-oriented approach.
