Duties

• Advise issuers, underwriters, and investors on IPOs and private placements.
• Represent clients in public and private offerings of equity and debt securities.
• Counsel public companies on SEC reporting and compliance obligations.
• Engage in cross-border transactions and multi-jurisdictional offerings.

Requirements

• 2-3 years of experience in '33 Act transactional and '34 Act compliance matters.
• Experience with corporate governance and stock exchange listing requirements.
• Admitted to the state bar or eligible to waive in.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• State Bar admission.
