Job Overview

A law firm in Columbus, Ohio, seeks a Business & Transactional Attorney to lead its non-litigation practice. This role focuses on advising clients, drafting complex documents, and resolving disputes before they escalate to litigation. The ideal candidate thrives in a tech-forward environment, utilizing automation and AI to deliver efficient, high-quality legal services under a flat-fee model.

Duties

• Form and maintain business entities (LLCs, corporations) across Ohio, Michigan, and Pennsylvania, including drafting articles, operating agreements, and succession plans.


• Negotiate and draft asset purchase agreements, commercial leases, vendor contracts, and closing documentation.


• Advise clients on employment law, including drafting handbooks, agreements, and managing terminations and compliance issues.


• Facilitate dispute resolution through governance improvements, informal mediation, and demand letters to prevent litigation.


• Utilize AI, document automation, and intake systems to manage a high volume of matters efficiently and provide feedback on workflow improvements.


• Review work produced by transactional support staff and ensure accuracy and compliance with client needs.


 

Requirements

• Hold a J.D. and an active Ohio law license in good standing.


• Demonstrate 5 to 8 years of experience in business, corporate, real estate, or transactional law.


• Proven expertise in drafting operating agreements, purchase agreements, and commercial contracts.


• Ability to advise business owners face-to-face with confidence and clarity.


• Strong drafting skills with meticulous attention to detail and the ability to eliminate unnecessary legal jargon.


• Capacity to manage a high volume of matters efficiently within a flat-fee structure.


• Comfort with using AI and legal technology in daily practice, with a curiosity for continuous learning.


 

Education

• Juris Doctor (J.D.) degree from an accredited law school.


 

Certifications

• Active Ohio law license in good standing.


• Experience with Michigan or Pennsylvania licenses is preferred.


 

Skills

• Proficiency in legal technology, including Clio, document assembly, and automation tools.


• Knowledge of consumer protection laws (CSPA) and dealer compliance is desired.


• Experience with employment law matters, including handbooks and terminations, is preferred.


• Strong communication skills with a focus on clear, direct, and professional interaction.
