Job Overview

A law firm seeks an experienced Securities and Corporate Governance Attorney to support a publicly traded client. This role involves leading U.S. securities law compliance, SEC reporting, and corporate governance matters. The position is based in the United States and offers remote work flexibility.

Duties

• Lead the legal review and preparation of SEC filings, including Forms 10-K, 10-Q, 8-K, and Proxy Statements.



• Advise on securities law requirements under the Securities Act of 1933 and the Securities Exchange Act of 1934.



• Provide guidance on Regulation FD, insider trading regulations, and disclosure controls to executive leadership.



• Advise the Board of Directors and management on public company governance requirements and best practices.



• Prepare and review Board materials, resolutions, minutes, and governance policies and charters.



• Partner with Human Resources to support executive compensation disclosures and equity compensation plans.



• Support mergers, acquisitions, and capital markets activities by conducting legal due diligence and reviewing disclosures.



• Administer compliance programs and develop training on securities law and governance matters.

Requirements

• Juris Doctor (J.D.) from an accredited law school.



• Active membership in at least one U.S. state bar.



• 7-10 years of relevant legal experience in public company securities law, SEC reporting, and corporate governance.



• Experience at a major law firm, publicly traded company, or a combination of both.

Education

• Juris Doctor (J.D.) degree from an accredited law school.

Certifications

• Active membership in at least one U.S. state bar.

Skills

• Deep understanding of the Securities Exchange Act of 1934, Securities Act of 1933, and Regulation FD.



• Knowledge of Section 16 requirements, Nasdaq listing standards, and corporate governance best practices.



• Strong business judgment, practical problem-solving skills, and exceptional legal drafting abilities.



• Executive presence with the ability to influence senior stakeholders and assess legal risk.



• Experience supporting technology, software, AI, or multinational public companies is preferred.



• Familiarity with executive compensation, equity matters, and M&A transaction experience is desired.
