Duties

• Advise on federal securities law exemptions and state Blue Sky laws.
• Support securities offerings and private company financings.
• Handle investment funds and capital markets transactions.
• Prepare and oversee Form D and state securities filings through NASAA EFD.

Requirements

• Outstanding academic credentials.
• Comparable law firm experience.
• Excellent written and verbal communication skills.
• Relevant bar admission or eligibility to obtain admission promptly.
• Deal sheet required.

Education

• Juris Doctor (JD) degree.

Certifications

• Bar admission in relevant jurisdiction.

Skills

• Strong knowledge of Regulation D, Section 4(a)(2), Rule 701, Regulation A, Rule 144.
• Proficiency in applicable state securities requirements.
