Job Overview

A law firm seeks a mid-level capital markets associate for its Houston, TX office. The successful candidate will engage in sophisticated domestic and international capital markets transactions, focusing on the energy, infrastructure, and industrial sectors. This role involves advising on a wide range of debt and equity capital markets matters, including initial public offerings, follow-on offerings, high-yield debt offerings, SPAC transactions, and securities law and corporate governance matters.

Duties

• Advise on domestic and international capital markets transactions.
• Manage significant portions of transactions independently.
• Coordinate diligence and disclosure processes.
• Draft and negotiate transaction documents.
• Collaborate with clients, investment banks, accountants, and opposing counsel.

Requirements

• At least three years of law firm experience in capital markets or related corporate transactions.
• Experience representing issuers, underwriters, sponsors, or financial institutions.
• Familiarity with SEC reporting requirements and securities laws.
• Ability to manage multiple matters and deadlines in a fast-paced environment.

Education

• J.D. from an accredited law school.

Certifications

• Active membership in good standing with the Texas Bar, or eligibility to waive into the Texas Bar.
