Job Overview

Duties

• Lead tax-exempt and taxable financing transactions, serving as bond counsel, underwriter's counsel, lender's counsel, or borrower's counsel.



• Review, draft, and analyze underlying credit support, tax, construction, and management agreements, as well as financing and offering documents.



• Analyze complex federal tax issues, federal securities law disclosure obligations, and related documents including official statements and legal opinions.



• Supervise and mentor associates and paralegals while serving as a primary point of contact for clients, issuers, and working group members.



• Work with partners to develop client relationships and support the practice's business development efforts.

Requirements

• 8 or more years of public finance experience, including substantial tax-exempt bond experience, in a top 100 law firm or comparable setting.



• Demonstrated ability to lead transactions from start to finish with deep knowledge of federal tax requirements and securities law.



• Proven ability to manage complex transactions, supervise junior lawyers, and provide practical, business-focused advice to clients.



• Strong interpersonal skills with the ability to build and maintain relationships with clients, business teams, and legal teams.



• Must be admitted to practice in, or eligible for admission in, the state where the candidate will be based.

Education

• Strong academic record with a Juris Doctor degree from an accredited law school.

Certifications

• Active bar admission in the relevant jurisdiction.

Skills

• Experience with real estate, secured lending, and project finance transactions is a plus, particularly representing lenders and underwriters.



• Established client base or demonstrated interest in business development is preferred.



• Willingness and desire to work with innovative technology platforms, including leveraging AI tools to accelerate research and streamline drafting.



• Excellent writing and oral communication skills.
