Job Overview

Duties

• Represent investors in complex stockholder or commercial litigation matters.



• Work towards achieving governance reforms at public companies to protect shareholder rights.



• Address issues including unfair deals, self-dealing, executive compensation, and workplace harassment.



• Take a meaningful role in multiple complex cases, often opposing significantly more senior lawyers.

Requirements

• Must have meaningful experience in prosecuting or defending complex stockholder or commercial litigation.



• Demonstrated experience with Delaware corporate law or breach of fiduciary duty litigation is required.



• Must possess basic financial literacy and an understanding of corporate capital structure and transactions.



• Must be prepared for a steep learning curve and hands-on training with an entrepreneurial mindset.

Education

• JD required (2019-2025 graduates preferred, with slight deviation possible for exceptional candidates).

Certifications

• Admission to the Delaware Bar is preferred, but candidates admitted elsewhere are considered.



• Service as a Delaware Chancery Court or Delaware Supreme Court judicial clerk is preferred.

Skills

• Chancery Court, merger, fiduciary duty, and/or appraisal litigation experience is preferred.



• Excellent time management, multitasking, and communication skills are essential.



• Proactive approach with the readiness to take opportunity and run with it.



• Desire to represent investors rather than corporations.

Benefits

• Full-time, exempt position based in Wilmington, DE.



• Hybrid role (3 days in-office, 2 days work-from-home).



• Base Salary Range: $195-$320k.
