Legal - Associate General Counsel
The candidate will assist in managing legal affairs in support of its mission; identifying, assessing, and managing legal, regulatory risk, and related reputation risk; and providing legal advice and assistance to all departments especially the Business Development team, in connection with transactions and contracts. Other duties/responsibilities include: advising staff regarding the broad range of legal issues affecting including issues relating to intellectual property; data sharing, licensing; technology transfer; SBIR/STTR grants; sponsored research; start-ups; clinical trials; information technology; compliance; real estate; export controls; NIH reporting; patient sample handling; and HIPAA and other privacy regulations. Providing advice in drafting, reviewing, and negotiating contractual arrangements including confidentiality, material transfer, data use, non-disclosure, intellectual property management, and clinical trial agreements; NIH and other government contracts and subcontracts; research, collaboration, consulting, and option agreements; licenses; loan, goods and services, operating, and design/construction agreements; and equity documents. In addition, this individual will provide advice in structuring transactions with industry, the government, and other institutions. JD degree from a law school accredited by the American Bar Association required. Must also be a member of good standing of the state bar of the Commonwealth of Pennsylvania or another state Bar. Should preferably have 5-7 years of experience in a law firm or in the legal department of a for-profit or nonprofit institution (such as a university, hospital, or biomedical research institute) required. Experience working in the life sciences, biomedical, pharmaceutical, or academic research sectors strongly preferred.
