Mid-Level Associate (Lawyer), Tax
The candidate will work with tax partners to provide advice to a broad range of clients regarding tax aspects of domestic and international merger & acquisition transactions, private investment fund investments and formations, and transactional and investment planning for public and private companies and tax-exempt organizations. Prepare, analyze, and negotiate tax aspects of documentation for private investment funds, including limited partnership and limited liability company agreements, offering documents and other fund documentation. Prepare, analyze, and negotiate tax aspects of documentation with respect to public or private mergers and acquisitions, financing, and other transactions. Help to supervise junior tax associates. Should have Juris Doctor (J.D.) degree, or Master of Law (LL.M.) degree (or foreign equivalent). Must also be admitted to the Massachusetts State Bar. Must have 3 years of law firm experience working with complex U.S. and international tax law matters. Experience must include three (3) years in each of the following: Preparing, analyzing, and negotiating tax aspects of documentation for private investment funds, including limited partnership and limited liability company agreements, offering documents and other fund documentation; and providing tax advice with respect to public or private mergers and acquisitions, financing, and other transactions.
