Job Overview

A law firm seeks a counsel or partner-level attorney with at least eight years of sophisticated commercial contracting and transactional experience to join its Consumer Brands Industry Group in Seattle. The firm provides comprehensive legal and regulatory counsel to emerging and established companies across various consumer product industries, advising clients throughout the business lifecycle from launch through strategic transactions.

Duties

• Structure, draft, and negotiate complex business-to-business agreements, including supply, manufacturing, distribution, and licensing contracts.



• Advise clients on operational and commercial relationships, identifying business and legal risks while developing practical, creative solutions.



• Manage multiple complex projects and workstreams simultaneously, taking ownership of matters and ensuring timely delivery.



• Provide strategic counsel on product development, procurement, vendor relationships, and intellectual property rights arising in commercial contexts.

Requirements

• At least eight years of sophisticated commercial contracting and transactional experience serving as a day-to-day advisor to operating businesses.



• Significant experience independently drafting, reviewing, and negotiating complex commercial agreements for product-based businesses.



• Demonstrated experience with multiple categories of supply chain, manufacturing, distribution, sales, logistics, or licensing agreements.



• Excellent business judgment, critical-thinking, and problem-solving skills with the ability to anticipate downstream consequences.



• Strong project-management and organizational skills, with a commitment to delivering accurate, thoughtful, and complete work.



• Exceptional client-facing skills and the ability to communicate sophisticated legal and business issues clearly and practically.



• A highly responsive, collaborative, and service-oriented approach to client matters.

Education

• JD from an ABA-accredited law school.

Certifications

• License to practice law.

Skills

• Deep expertise in structuring and negotiating complex operational and commercial relationships.



• Ability to translate practical solutions into clear contractual structures.



• Strong analytical and negotiation skills.



• Experience with general corporate matters, strategic transactions, or transactional intellectual property is welcome but not required if commercial contracting experience is deep.



• Experience with consumer products, food and beverage, beauty, pet, apparel, or other product-based businesses is strongly preferred.



• A portable book of business is preferred.
