Job Overview

A law firm seeks a mid-level associate to join its Investment Management team in Los Angeles, California. This role focuses on private fund formation, including private equity, private credit, real estate, entertainment, and venture capital funds. The position offers exposure to sophisticated matters involving U.S. and international pooled investment vehicles and bespoke arrangements.

Duties

• Advise private fund sponsors on the formation and offering of various U.S. and international pooled investment vehicles and bespoke fund-of-one arrangements.



• Represent significant institutional investors in allocating capital to private fund investments, including primary, secondary, and coinvest transactions.



• Counsel investment advisory firms on operational matters such as internal governance, compliance, carried interest, co-investment arrangements, and fund restructurings.



• Collaborate with industry teams advising on client portfolio assets, including private equity, real estate finance, and fintech sectors.

Requirements

• At least 4 years of experience in private fund formation.



• Experience drafting and reviewing fund-related documentation, including private placement memoranda, subscription documents, and LLC and partnership agreements.



• Experience representing institutional investors in negotiating private fund investments.



• Working knowledge of relevant securities rules and regulations, including the Investment Advisers Act.



• Experience working at an AmLaw 100 firm is preferred.

Education

• Outstanding academic credentials from an accredited law school.

Certifications

• Admitted to practice law in the relevant jurisdiction.

• Ability to work closely with experienced practitioners on sophisticated matters at a national level.



• Strong analytical skills with a focus on client portfolio assets.
