Job Overview

A law firm seeks a mid-level corporate associate with 3-6 years of experience to join its Venture Capital practice in New York. The ideal candidate will represent venture capital investors and emerging growth companies, advising on entity formation, equity financings, and securities matters. This role offers the opportunity to work within a collaborative team on high-profile transactions across all stages of the company lifecycle.

Duties

• Draft and negotiate transaction documents for Seed through late-stage venture capital financings, including term sheets, SAFEs, convertible notes, and preferred stock purchase agreements.



• Advise venture-backed companies on corporate formation, governance, securities issuances, and general corporate matters throughout their growth cycle.



• Represent venture capital funds and institutional investors in connection with new investments, follow-on rounds, and portfolio matters.



• Manage diligence processes and maintain direct client relationships while collaborating with senior attorneys on complex deal teams.

Requirements

• 3-6 years of substantive corporate transactional experience on both the company side and the investor side of venture capital transactions.



• Experience at a nationally recognized law firm with a strong venture capital and emerging companies practice is strongly preferred.



• Ability to work effectively in leanly staffed, fast-paced deal teams while managing significant responsibility and client contact.

Education

• Outstanding academic credentials from an accredited law school.

Certifications

• Admitted to the Massachusetts and/or New York Bar, or eligible for admission to either jurisdiction.

Skills

• Solid judgment and strong project management capabilities.



• Proficiency in counseling clients on securities matters and capitalization structures.
