A law firm seeks a Capital Markets Associate Attorney in New York, NY. The ideal candidate will join a dynamic team advising on equity and debt capital markets, public company advisory, and governance matters. This role involves working with a diverse client base, including emerging growth companies and Fortune 500 firms, on high-visibility transactions.

Duties

• Advise issuers, underwriters, and investors on IPOs and follow-on offerings.
• Represent clients in public and private offerings of equity and debt securities.
• Counsel public companies on SEC reporting and compliance obligations.
• Engage in cross-border transactions and multi-jurisdictional offerings.
• Collaborate with a team on sophisticated capital markets transactions.

Requirements

• 2-3 years of experience in '33 Act transactional and '34 Act compliance matters.
• Experience with corporate governance and stock exchange listing requirements.
• Admitted to the state bar or eligible to waive in.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• State Bar admission.
