Duties

• Lead and support buy-side and sell-side M&A transactions, including stock and asset purchases, mergers, and strategic exits.
• Negotiate and draft transaction documents, including letters of intent and purchase agreements.
• Advise clients on transaction structure, deal risk allocation, and execution strategy.
• Manage and coordinate legal due diligence for buyers and sellers.
• Support venture capital and growth-stage transactions related to acquisition or exit planning.
• Counsel clients on post-closing integration and corporate governance.
• Collaborate with internal teams and external advisors for efficient closings.
• Stay current on corporate, M&A, and securities law developments.

Requirements

• Juris Doctor (J.D.) from an ABA-accredited law school.
• Admitted to practice in Massachusetts or eligible for prompt admission.
• 4+ years of corporate transactional experience, focusing on M&A transactions.

Education

• Juris Doctor (J.D.)

Certifications

• Admitted to practice law in Massachusetts
