A law firm seeks a mid-level Corporate Associate in the Corporate Practice, Mergers and Acquisitions (M&A), and private equity practice in Fort Lauderdale, Florida. This full-time position involves working with private equity sponsors, family offices, and various businesses on buyouts, acquisitions, and investments. The role offers the opportunity to manage transaction workstreams for domestic and international clients across diverse industries.

Duties

• Draft, review, and negotiate M&A and private equity transaction documents.
• Manage due diligence processes, including contract and record reviews.
• Coordinate with tax, regulatory, finance, and litigation teams on transactions.
• Participate in client meetings, providing strategic input and updates.
• Assist with closing preparations and ensure post-closing obligations are met.

Requirements

• J.D. from an accredited law school.
• Admission to the Florida Bar or willingness to become admitted promptly.
• 4-6 years of substantive M&A, private equity, and corporate experience.
• Strong drafting, negotiation, and project management skills.
• Ability to work independently and as part of a team.
• Demonstrated ability to thrive in a fast-paced environment.

Preferred Qualifications

• Experience with cross-border transactions.
• Experience advising private equity funds or portfolio companies.
• Comfort working directly with clients and managing multiple deals.

Education

• J.D. from an accredited law school.

Certifications

• Admission to the Florida Bar or willingness to become admitted promptly.
