Job Overview

A law firm seeks a mid-level associate to join its Investment Management team in Chicago, Illinois. This role focuses primarily on private fund formation, including private equity, private credit, real estate, entertainment, and venture capital funds. The position offers the opportunity to work closely with experienced practitioners on sophisticated national matters within a collegial environment.

Duties

• Advise private fund sponsors on the formation and offering of U.S. and international pooled investment vehicles and bespoke fund-of-one arrangements.



• Represent significant institutional investors in allocating capital to private fund investments, including primary, secondary, and coinvest transactions.



• Counsel investment advisory firms on operational matters such as internal governance, compliance, carried interest, and fund restructurings.



• Collaborate with industry teams to develop specialized expertise in client portfolio assets, including private equity and real estate finance.

Requirements

• At least 4 years of experience in private fund formation.



• Proven experience drafting and reviewing fund-related documentation, including private placement memoranda, subscription documents, and LLC and partnership agreements.



• Experience representing institutional investors in negotiating private fund investments.



• Working knowledge of relevant securities rules and regulations, including the Investment Advisers Act.

Education

• Outstanding academic credentials from an accredited law school.

Certifications

• Active license to practice law in the relevant jurisdiction.

Skills

• Excellent written and verbal communication skills.



• Ability to work effectively in a collegial office environment.



• Experience working at an AmLaw 100 firm is preferred.
